TERMS & CONDITIONS

1. Confidentiality & Non-Disclosure
At Hwthorn, we respect the privacy and discretion of all our clients. All enquiries and projects are subject to an automatic Non-Disclosure Agreement (NDA) to ensure complete confidentiality. Client information, event details, and any personal or sensitive data shared with us are handled with the highest standards of privacy and security, in addition to the protections described in our Privacy Policy.

2. Payment Terms
A 50% deposit is required to confirm your booking. The remaining balance for services agreed in advance is due 7 days before the event. Any additional services, hours worked on the day, or extra requirements requested by the client will be invoiced separately and are payable 7 days after the event. Payments may be made by bank transfer or other methods agreed in advance. The deposit is non-refundable; failure to pay balances on time may result in the suspension of services or additional charges.

3. Cancellation & Postponement
Cancellations must be communicated in writing. Deposits are non-refundable. Postponements may be accommodated at Hwthorn’s discretion, subject to availability and potential additional costs.

4. Liability & Force Majeure
Hwthorn will take reasonable care in delivering services but is not responsible for indirect, incidental, or consequential losses. We are not liable for delays, cancellations, or additional costs resulting from circumstances beyond our reasonable control, including but not limited to weather, strikes, or third-party supplier issues.

5. Suppliers & Third Parties
Hwthorn coordinates and liaises with trusted suppliers on behalf of clients. While we ensure the highest standards of selection and management, we are not responsible for the performance of third-party vendors. Any contractual issues between the client and suppliers are the client’s responsibility.

6. Client Obligations
Clients agree to provide accurate information, timely approvals, and access to venues as required for Hwthorn to deliver services effectively. Delays caused by the client may impact delivery and incur additional costs.

7. Intellectual Property
All creative materials, designs, images, and content produced by Hwthorn remain our intellectual property unless explicitly agreed otherwise. Clients may use images of the event for personal purposes; commercial use requires written permission.

8. Privacy
Client information is collected, stored, and processed in accordance with our Privacy Policy.

9. Marketing & Portfolio Use
Unless restricted by the NDA, Hwthorn may use images or descriptions of events for marketing or portfolio purposes. Any commercial use of images by the client requires written permission.

10. Governing Law & Dispute Resolution
These Terms are governed by the laws of the United Kingdom. Any disputes will be subject to the exclusive jurisdiction of the courts of the United Kingdom. Hwthorn encourages mediation or amicable resolution prior to legal proceedings.

11. Changes to Terms
Hwthorn may update these Terms & Conditions from time to time. Updated versions will be posted on our website, and continued engagement of our services constitutes acceptance of the revised terms.
